Acceptable Use Policy
WHEREAS this Acceptable Use Policy (“AUP”) Agreement governs the acceptable use of the LTL+ Application Programming Interface (“API”) provided by K+N; and
WHEREAS the purpose of this policy is to ensure the responsible and lawful use of the API by developers, customers, and any other users who access or interact with it.
NOW, THEREFORE, as described in greater detail below, the purpose of this agreement is to outline the terms and conditions governing the use of the LTL+ API provided by K+N.
Services
- K+N agrees to provide Customer with access to and use of its LTL+ API as described in K+N’s API documentation.
- K+N shall use commercially reasonable efforts to ensure the availability, reliability, and security of the API.
- The API shall support no more than 180 calls per minute per customer peak volume across all API endpoints. Should the above limit be exceeded, K+N will not disable the Production Credential for a duration longer than five (5) minutes. Furthermore, the Development Credential will not be disabled for a period longer than fifteen (15) minutes.
Compliance with Laws and Regulations
- All API users must comply with all applicable laws, regulations, and industry standards. This includes, but is not limited to, laws related to data protection, privacy, intellectual property, and any terms and conditions specifically outlined by K+N.
Authorized Access and Usage
- Access to the API is granted only to authorized individuals, developers, or organizations who have obtained the necessary credentials and permissions from K+N. Users must not share their credentials with unauthorized parties, and any misuse or unauthorized access to the API will be considered a violation of this policy.
- Each Party agrees to keep confidential any proprietary or confidential information disclosed by the other Party during the term of this Agreement, and for a period of two (2) years thereafter.
Prohibited Activities
The following activities are strictly prohibited when using the API:
- Unauthorized access or attempts to access, modify, or tamper with the API or its associated systems, data, or networks.
- Intentional or unintentional disruption or interference with the proper functioning of the API or any related systems or networks.
- Use of the API to transmit, store, or distribute any content that is illegal, harmful, offensive, abusive, defamatory, or violates applicable laws or regulations.
- Reverse engineering, decompiling, or attempting to extract the source code or algorithms of the API.
- Impersonating or misrepresenting affiliation with K+N or any other entity.
- Use of the API to conduct any illegal or fraudulent activities or engage in any activities that may harm the reputation or integrity of K+N.
- Violation of any intellectual property rights, including but not limited to copyrights, trademarks, or patents, when using the API.
Data Privacy and Security
- Users must ensure the privacy and security of any data transmitted, accessed, or processed through the API. This includes adhering to any applicable data protection laws, obtaining necessary consents, and implementing appropriate security measures to protect data from unauthorized access, loss, or misuse.
Reporting Violations
- Users must report violations of this AUP or any suspicious activities related to the API to K+N as soon as possible. Reports can be submitted through the designated channels specified by K+N.
Consequences of Violations
- User’s violations of this AUP may result in disciplinary action, including but not limited to temporary or permanent suspension of API access, legal actions, indemnification pertaining to third party claims, and/or termination of any associated agreements or contracts with K+N.
- Neither Party shall be responsible for special, incidental, indirect or consequential damages arising from this Agreement.
- K+N’s liability under this Agreement shall be limited to the amount of fees paid in the previous six (6) month period.
Intellectual Property
- K+N retains all right, title, and interest in and to the API, including any modifications, improvements, or updates made thereto.
- Customer acknowledges that it does not acquire any intellectual property rights in the API or any related materials, except for the limited right to access and use the API in accordance with this Agreement.
Load Testing
- Users are strictly prohibited from performing load testing or stress testing on the API without K+N’s prior written consent. Load testing refers to the deliberate and intensive use of the API to assess its performance under high usage scenarios. Such activities can cause disruptions to the API's availability, stability, and functionality, thus impacting the experience of other users.
- If a User wishes to conduct load testing, it must contact K+N to obtain explicit permission. K+N reserves the right to review and assess the proposed load testing plan before granting authorization. Unauthorized load testing may result in immediate suspension of API access and may lead to further legal actions or indemnification.
- Please note that K+N may offer alternative mechanisms or procedures for load testing purposes, subject to specific terms and conditions that will be provided separately.
Caching of API Results
- Users are prohibited from caching or storing API results for extended periods of time for subsequent use unless explicitly permitted in writing. Caching refers to the act of storing API responses locally or on any external systems for later retrieval or distribution.
- The API is designed to provide real-time or near real-time data, and caching results can lead to outdated or inaccurate information being served to users. Additionally, caching may place an unnecessary burden on the API infrastructure and impact its overall performance and responsiveness.
- If you have a specific need to cache API results, you must request permission from K+N in writing, specifying the intended caching duration, purpose, and any other relevant details. K+N reserves the right to approve or deny caching requests at its discretion.
- Unauthorized caching of API results is considered a violation of this policy and may result in the immediate termination of API access. Furthermore, K+N reserves the right to implement rate limiting, revoke caching permissions, or take any other necessary measures to enforce this policy.
- K+N may provide specific guidelines or alternative mechanisms for result caching, subject to separate agreements or terms and conditions.
- By utilizing the API, Customer acknowledges and agrees to comply with the restrictions on caching API results, unless expressly permitted by K+N.
